Disclosure regarding referral arrangement between Dan El and Solid Exempt Market Solutions Inc.

Referral Arrangement
Solid Exempt Market Solutions Inc. (“SEMSI”) has entered into a Referral Agreement (the “Agreement”) with Dan El (the “Corporation”).
Pursuant to the terms of the Agreement, SEMSI agreed to identify for the Corporation Potential Investors that SEMSI believes may be interested in obtaining gold and silver through the Corporation. In providing such services to the Corporation, SEMSI has agreed to:
   (i) inform Potential Investors that the Corporation sells gold and silver;
   (ii) provide to investors only those materials provided to SEMSI by the Corporation;
   (iii) not provide any advice to Potential Investors in respect to gold and silver of the Corporation, or any investment of the Corporation.
   (iv) not publish or distribute any notices, advertisements or other materials concerning the Corporation without the Corporation’s prior written consent.
The Corporation has agreed to permit only its qualified representatives to assist Potential Investors to purchase gold and silver. In providing information to potential investors regarding the purchase of gold and silver to the Corporation, SEMSI is not recommending that potential investors make a gold and silver purchase through the Corporation. Any decision to purchase gold and silver through the Corporation will be made solely by the investor.

Referral Fee
In consideration for providing such services, the Corporation has agreed to pay to SEMSI 7% of the Dan El, cash and carry purchase price only. Of that 7% SEMSI has agreed to pay their qualified representatives 3%.

Conflicts of Interest
The referral arrangement between the Corporation and SEMSI may create a conflict between your interests and those of SEMSI and its representatives because it could create an incentive for SEMSI and its representatives to refer you to the Corporation with respect to the purchase of gold and silver regardless of whether it is appropriate for you.

Registrations
SEMSI is registered with applicable securities regulators in British Columbia, Alberta and Saskatchewan as an Exempt Market Dealer. As an Exempt Market Dealer, SEMSI and its representatives are permitted to engage in the business of trading securities that are distributed under an exemption from applicable
prospectus requirements, and generally are not permitted to provide advice unless such advice is in connection with a trade in a security that SEMSI is permitted to make under its registration with applicable securities regulators.
